TERMS OF SERVICE.

These Terms of Service ("Terms") govern your access to and use of MNCM.ca, MNCM Studio, and related websites, accounts, creator tools, integrations, software, and services (collectively, the "Services") provided by MNCM ("MNCM", "we", "us", or "our").

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. MNCM Services

MNCM provides and develops creator-focused websites, software, artificial-intelligence-assisted tools, content workflows, account features, platform integrations, publishing tools, subscription features, and related digital services.

MNCM Studio is an evolving product. Features may be added, modified, tested, limited, suspended, replaced, or discontinued as the Services develop.

2. Eligibility

You may use the Services only if you are legally permitted to do so and can enter into the agreements required for the features you use.

Some connected platforms, subscriptions, payment services, or other features may impose additional eligibility or age requirements. You are responsible for complying with those requirements.

3. Accounts

Certain Services require an MNCM Studio account. You agree to provide information that is accurate where required and to keep account information reasonably current.

You are responsible for maintaining the confidentiality and security of your account and for activity occurring through it. You must not knowingly allow unauthorized persons to use your account.

Contact MNCM promptly if you believe your account or a connected integration has been compromised.

4. Creator Profiles

MNCM Studio may allow you to create or maintain a creator profile containing information you choose to provide. You are responsible for information and content you place in your profile and for ensuring you have the right to use it.

5. StreamKit and AI-Assisted Features

MNCM Studio may provide artificial-intelligence-assisted tools such as StreamKit for generating creator materials, titles, descriptions, tags, content ideas, drafts, or other outputs.

AI-generated outputs may be inaccurate, incomplete, unsuitable, repetitive, or similar to content generated for others. MNCM does not guarantee that an AI-generated output is unique, correct, lawful, non-infringing, or appropriate for a particular purpose.

You are responsible for reviewing and approving generated content before publishing, distributing, relying upon, or otherwise using it.

6. User Content

"User Content" means content, information, prompts, drafts, text, media, profile information, or other materials that you submit, create, save, upload, or provide through the Services.

As between you and MNCM, you retain ownership of rights you already hold in your original User Content. These Terms do not transfer ownership of your original content to MNCM.

You grant MNCM a limited, non-exclusive licence to host, store, reproduce, process, transmit, format, and otherwise use User Content only as reasonably necessary to operate, secure, maintain, improve, and provide the Services and features you request, subject to our Privacy Policy and applicable law.

You represent that you have the rights and permissions necessary to provide User Content to MNCM and to authorize the uses required to provide the Services.

7. Content Library and Drafts

MNCM Studio may allow generated or user-created content to be stored in a Content Library or as creator drafts. You are responsible for reviewing stored content and maintaining any independent backups you consider important.

A draft status, publishing state, or other Studio label is a workflow aid and does not constitute MNCM's approval of the content.

8. Connected Platforms

MNCM Studio may allow you to connect independent third-party services such as Twitch, YouTube, Discord, TikTok, and other creator platforms.

By connecting a platform, you authorize MNCM to access the information and perform the supported actions permitted by the authorization you grant and the features you knowingly choose to use.

You may disconnect supported integrations through available MNCM controls or through the applicable third-party service.

9. Authorization to Perform Publishing Actions

Some Studio features may allow you to publish, schedule, create, configure, manage, or cancel content or resources on a connected third-party platform.

When you deliberately activate such a feature, you instruct and authorize MNCM to send the corresponding request to the connected platform using the permissions associated with your account.

You remain responsible for reviewing the content, destination, channel, schedule, title, description, tags, visibility, and other settings before authorizing a publishing or management action.

10. YouTube and Google Services

YouTube features may use Google OAuth and YouTube APIs. Depending on the permissions you grant and the feature you select, MNCM Studio may access channel and broadcast information and may create, schedule, configure, bind, manage, or cancel supported YouTube live-stream resources on your behalf.

Your use of YouTube through MNCM remains subject to applicable Google and YouTube terms, policies, permissions, technical requirements, and availability.

11. Twitch Services

Twitch integrations may allow MNCM Studio to display authorized channel, live-status, schedule, or other creator information and may support additional creator controls as MNCM develops.

Twitch features remain subject to Twitch's independent terms, API requirements, permissions, and availability.

12. Discord Services

Discord integrations may allow MNCM Studio to retrieve eligible server channels and publish creator content to a channel selected by you.

Discord publishing depends on the permissions available to the relevant account, application, bot, server, and channel. MNCM cannot override restrictions imposed by Discord or a server administrator.

13. TikTok Services

TikTok integration functionality may depend on platform review or approval, available API functionality, granted permissions, and TikTok's independent requirements.

The presence of a TikTok connection option does not guarantee that every planned TikTok feature is currently available.

14. Third-Party Services

MNCM relies on independent third-party services for portions of its functionality, which may include hosting, authentication, databases, payments, artificial intelligence, platform APIs, security, and other infrastructure.

Third-party services are controlled by their respective providers and remain subject to their own terms, privacy policies, limitations, outages, modifications, rate limits, suspensions, and availability.

MNCM is not responsible for changes made independently by a third-party provider that prevent or limit an integration from functioning.

15. Subscriptions and Paid Features

Some MNCM Services may require a paid subscription or other purchase. Prices, plan features, billing intervals, and applicable purchase information will be presented before you complete a transaction.

You authorize the applicable payment processor to charge the payment method you provide for purchases you approve, including recurring charges where you purchase a recurring subscription.

16. Recurring Billing and Renewal

If a subscription is sold on a recurring basis, it may renew automatically at the disclosed billing interval until cancelled, subject to applicable law and the terms presented during purchase.

You are responsible for cancelling a recurring subscription before the next applicable renewal if you do not want the next recurring charge to occur.

17. Cancellation

Where available, subscriptions may be managed or cancelled through the billing controls provided by MNCM or its payment processor.

Unless otherwise stated at purchase or required by applicable law, cancellation normally prevents future renewals rather than retroactively cancelling a billing period that has already begun.

18. Refunds

Except where a refund is required by applicable law or expressly offered by MNCM, payments are generally non-refundable once the applicable paid service or billing period has been provided.

Nothing in these Terms limits any refund, cancellation, or consumer right that cannot lawfully be excluded.

19. Taxes and Pricing

Prices may be changed for future purchases or future subscription periods. Applicable taxes may be added or collected as required.

Where required by law, appropriate notice will be provided before a pricing change applies to an existing recurring subscription.

20. Acceptable Use

You may not use the Services to violate applicable law, infringe another person's rights, impersonate another person or organization deceptively, distribute malware, facilitate fraud, interfere with service operation, abuse third-party APIs, or access accounts, systems, or data without authorization.

You may not attempt to circumvent authentication, authorization, subscription controls, security restrictions, rate limits, platform permissions, or other technical protections associated with MNCM or connected services.

21. Automated and Abusive Activity

You may not use bots, scripts, automated requests, scraping, or similar methods in a manner that materially burdens, disrupts, probes, damages, or circumvents the Services unless expressly authorized by MNCM.

22. Intellectual Property

MNCM's software, source materials, branding, logos, visual identity, website designs, interfaces, documentation, and original service materials are owned by MNCM or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, sell, license, distribute, reverse engineer, or create unauthorized derivative uses of protected MNCM materials.

23. Third-Party Intellectual Property

Third-party names, trademarks, platforms, APIs, and content remain the property of their respective owners. References to third-party platforms do not imply ownership or endorsement by those providers unless expressly stated.

24. Copyright and Rights Complaints

If you believe content available through MNCM infringes your intellectual property or other legal rights, contact [email protected] with sufficient information for MNCM to review the matter.

25. Feedback

If you voluntarily provide suggestions, ideas, or feedback regarding MNCM or the Services, you permit MNCM to use that feedback to evaluate, develop, or improve the Services without an obligation to compensate you, provided that this does not transfer ownership of your unrelated User Content.

26. Beta, Preview, and Developing Features

Some MNCM features may be identified as beta, preview, experimental, developing, early access, or otherwise unfinished.

Such features may contain errors, change without notice, have limited availability, or be removed. You should not rely on developing features for critical activities without appropriate independent safeguards.

27. Service Availability

MNCM aims to provide reliable Services but does not guarantee continuous, uninterrupted, secure, or error-free operation.

Maintenance, security events, internet failures, third-party outages, API changes, rate limits, software defects, testing, or other circumstances may temporarily or permanently affect functionality.

28. Changes to the Services

MNCM may modify, improve, restrict, replace, or discontinue features where reasonably necessary for product development, security, legal compliance, third-party requirements, or business operations.

29. Suspension and Termination

MNCM may restrict, suspend, or terminate access where reasonably necessary to address a material violation of these Terms, fraud, abuse, security threats, legal requirements, non-payment, harm to users or third parties, or risks to the integrity of the Services.

Where appropriate and reasonably possible, MNCM may provide notice or an opportunity to address a problem before termination, but immediate action may be taken when necessary for security, legal, or abuse-prevention reasons.

30. Effect of Termination

Following account termination or deletion, access to Studio data or paid features may end. Information may be deleted or retained in accordance with the MNCM Privacy Policy, applicable law, legitimate security requirements, and reasonable backup practices.

31. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. MNCM does not guarantee that every feature, integration, generated output, recommendation, schedule, status result, or third-party action will be accurate, available, successful, or suitable for your intended purpose.

You are responsible for independently reviewing important content, settings, publishing actions, business decisions, and AI-generated outputs before relying on them.

32. Limitation of Liability

To the maximum extent permitted by applicable law, MNCM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, content, or data arising from or related to use of the Services.

To the maximum extent permitted by applicable law, MNCM is not responsible for losses caused by independent third-party platforms, provider outages, API changes, unauthorized user activity, or content or publishing decisions made by users.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

33. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold MNCM harmless from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Services, your material violation of these Terms, your User Content, or your infringement of a third party's rights.

34. Privacy

MNCM's collection, use, storage, disclosure, and protection of personal information is described in the MNCM Privacy Policy, which should be read together with these Terms.

35. Changes to These Terms

MNCM may update these Terms as the Services, legal requirements, business practices, or third-party platform requirements evolve.

The effective date will be updated when revised Terms take effect. Where required by applicable law, additional notice of material changes may be provided.

36. Governing Law

These Terms and your use of the Services are governed by the laws applicable to MNCM's operations in Canada, without limiting any mandatory consumer, privacy, or other rights that apply to you and cannot lawfully be waived or excluded.

37. Severability

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

38. No Waiver

A failure by MNCM to enforce a provision of these Terms does not waive the right to enforce that provision or another provision later.

39. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly presented for a particular MNCM feature or purchase, form the agreement governing your use of the Services.
